Welcome to The Bookkeeping Factory (“TBF,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, forms, scheduling pages (including Calendly), and any services or offers promoted on this page (collectively, the “Site”). By using the Site, submitting a form, or booking a call, you agree to these Terms.
Not legal or tax advice. Information on this Site is for general marketing and educational purposes only and does not constitute accounting, tax, legal, or financial advice. Services begin only after both parties sign an engagement letter or service agreement (the “Engagement”).
1) Who We Serve & How We Engage
No client relationship from browsing. Submitting a form or booking a call does not create an accountant–client relationship. A relationship starts only after an Engagement is executed and onboarding requirements are met.
Scope set in writing. The specific services (e.g., monthly bookkeeping, catch-up, payroll, AR/AP, reconciliations, reporting) and deliverables are defined in the Engagement.
Your obligations. You agree to:
Provide accurate, complete, and timely information and access (e.g., QuickBooks/Xero credentials, bank/credit statements, payroll data).
Respond promptly to clarification requests and approvals.
Maintain lawful records and comply with applicable laws.
Reliance on your data. We rely on the accuracy and completeness of the documents and data you provide. We are not responsible for inaccuracies caused by incomplete or delayed information.
2) Pricing, Promotions & Billing
“Starting at $299/month.” Advertised pricing is entry-level and may vary based on transaction volume, number of accounts, complexity, add-ons (e.g., payroll, AR/AP), and timing. A fixed monthly fee will be confirmed in your Engagement.
Month-to-month. Unless otherwise stated in the Engagement, services are billed monthly and auto-renew until canceled.
Payment method. You authorize recurring charges to your chosen payment method for ongoing services.
Promo: First Month Free (if shown).
New clients only; one per business; cannot be combined with other offers.
Applies after signing the Engagement and completing onboarding.
If service is canceled before the second month, we may charge for work performed during the promotional month at our standard hourly rate or deny the promotional credit.
We may modify or end promotions at any time.
Refunds. Fees are generally nonrefundable once work for the billing period has begun, except as required by law or expressly stated in your Engagement.
Late/failed payments. We may suspend services for failed or late payments and may charge reasonable late fees or interest as permitted by law.
3) Scheduling, Cancellations & No-Shows
Calendly & third-party tools. Scheduling is facilitated via Calendly or similar tools; their terms apply.
Rescheduling. Please reschedule at least 24 hours in advance. Repeated no-shows may result in service refusal at our discretion.
4) SMS, Email & Consent to Contact
Consent. By submitting our forms, you consent to receive communications (e.g., confirmations, reminders, onboarding requests, service notices, and limited marketing) by email, phone, and text/SMS at the contact information you provide.
Text terms. Message frequency may vary. Msg & data rates may apply. You may opt out of SMS at any time by replying STOP; for help, reply HELP or contact us at the details below. Opting out of marketing texts may not stop essential service messages (e.g., billing or security alerts).
Accuracy. You confirm you are the subscriber or customary user of the phone number provided and that you will promptly update us if your number changes.
5) Intellectual Property & Site License
Ownership. The Site, its design, text, graphics, logos, and content are owned or licensed by TBF and protected by law.
Limited license. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business evaluation.
Prohibited uses. You may not copy, scrape, reverse engineer, or use the Site for any unlawful or competitive purpose; introduce malware; or attempt to bypass security.
6) Testimonials, Case Studies & “Our Clients” Logos
Illustrative only. Testimonials, case metrics (e.g., “$2.7M savings,” “5,000+ hours saved”), and logos are illustrative of past or typical outcomes and do not guarantee future results.
Permissions. Client names/logos are used with permission or as fair descriptive use; removal requests will be honored.
7) Third-Party Services & Integrations
Our work may involve third-party products (e.g., QuickBooks, Xero, payroll providers, payment processors, Calendly). Those platforms are governed by their own terms and privacy policies. We are not responsible for their acts, omissions, outages, data handling, or security.
8) Confidentiality & Data
Confidential information. We will keep your non-public business information confidential and use it only to deliver services, except as required by law or authorized by you.
Security. We use reasonable administrative, technical, and physical safeguards. No system is 100% secure; you transmit data at your own risk.
Anonymized insights. We may use aggregated, de-identified data to improve services and benchmarks, without identifying you or your business.
9) Disclaimers
No guarantees. We do not guarantee specific savings, outcomes, tax positions, or regulatory approvals.
No tax/legal advice unless engaged. Unless explicitly included in your Engagement, we do not provide tax filing or legal services. Consult your tax advisor or attorney for those matters.
Availability. The Site may be temporarily unavailable for maintenance or for reasons beyond our control.
10) Limitation of Liability
To the fullest extent permitted by law, TBF and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost data, or business interruption), arising out of or related to your use of the Site or services. Our total liability in any matter is limited to the fees you paid to us during the three (3) months preceding the event giving rise to the claim.
11) Indemnification
You agree to defend, indemnify, and hold harmless TBF from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Site, or your violation of law or third-party rights.
12) Termination
We may suspend or terminate your access to the Site or decline/terminate services if you breach these Terms, fail to pay, or we reasonably determine the engagement is not a good fit. Your obligations that by their nature should survive (e.g., payment due, confidentiality, IP, limitations of liability) will survive termination.
13) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California for any dispute not subject to arbitration (if arbitration is later agreed in an Engagement).
14) Changes to These Terms
We may update these Terms from time to time. Changes are effective upon posting with the “Last updated” date above. Your continued use of the Site constitutes acceptance of the updated Terms.
